Terms of Service

These Terms of Service ("Terms") govern your access to and use of Berdaya's website (www.berdaya.ai), desktop agent application, and API (api.berdaya.ai) (collectively, the "Service"), operated by Berdaya ("Berdaya," "we," "us," or "our").

By creating an account, downloading Berdaya Agent, purchasing tokens, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 16 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Berdaya provides a managed AI inference platform. Berdaya Agent is a desktop application for chat and tooling; the Berdaya API provides OpenAI-compatible inference endpoints. We route requests to upstream AI providers and meter usage against your prepaid token balance.

We may modify, suspend, or discontinue features of the Service at any time. We strive to provide reliable service but do not guarantee uninterrupted or error-free operation.

You are responsible for maintaining the security of your account and API keys. Do not share API keys publicly or embed them in client-side code. You are responsible for all activity that occurs under your account, whether authorized by you or not.

Notify us promptly at berdaya.ai@gmail.com if you suspect unauthorized access. We may suspend or revoke keys that pose a security risk.

The Service uses a prepaid token model. You purchase token packages through our billing provider (Midtrans). Token balances are deducted based on usage as determined by our metering system.

No refunds. Except where required by applicable law, all token purchases are final and non-refundable, including unused balances.

Insufficient balance. If your token balance is insufficient, inference requests may be rejected (for example, with an HTTP 402 response). You are responsible for maintaining adequate balance for your intended usage.

We may change pricing, packages, or metering rates with reasonable notice. Changes apply to future purchases and usage after the effective date.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe intellectual property or other rights of others
• Generate or distribute illegal, harmful, abusive, or deceptive content
• Attempt to bypass authentication, metering, rate limits, or security controls
• Probe, scan, or test the vulnerability of our systems without authorization
• Resell or redistribute the Service without our written permission
• Use the Service in a manner that could harm Berdaya, other users, or upstream providers

We may investigate violations and suspend or terminate access at our discretion. You must also comply with applicable upstream provider terms and policies.

You retain ownership of prompts, files, and other content you submit through the Service ("Your Content"). You grant Berdaya a limited license to process, transmit, and store Your Content solely to provide and improve the Service, including forwarding it to upstream AI providers as needed to fulfill requests.

You represent that you have the rights necessary to submit Your Content and that it does not violate these Terms or applicable law. You are solely responsible for Your Content and its outputs.

AI-generated responses may be inaccurate, incomplete, or inappropriate. Outputs are provided "as is" for informational purposes. You should not rely on outputs for medical, legal, financial, or other professional advice without independent verification. You are responsible for reviewing and validating outputs before use.

Berdaya and its licensors own the Service, including software, branding, documentation, and website content, except for Your Content and third-party materials. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service in accordance with these Terms.

The Service integrates with third parties including identity providers (Google, GitHub), payment processors (Midtrans), cloud infrastructure, and upstream AI providers. Your use of those services may be subject to their separate terms and privacy policies. Berdaya is not responsible for third-party services.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BERDAYA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BERDAYA IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

You agree to indemnify and hold harmless Berdaya from any claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, create security or legal risk, or if we discontinue the Service. Upon termination, your right to use the Service ends. Provisions that by their nature should survive (including payment obligations incurred, disclaimers, limitations of liability, and indemnification) will survive termination.

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Material changes may be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of Indonesia, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your jurisdiction apply. Any disputes will be resolved in the courts of Indonesia, unless otherwise required by applicable law.
